Terms and Conditions

These terms govern your use of the Oasis Hive Limited website and set out the basis on which we provide our services. By using this site or engaging us, you agree to them.

01 Use of this website

This website is provided for information about our services. You may view, download and print pages for your own reference. You may not reproduce, republish or redistribute material from this site for commercial purposes without our written permission.

You agree not to use this site in any way that is unlawful, that interferes with its operation, or that attempts to gain unauthorised access to any part of it or to any connected system.

02 Intellectual property

All content on this website, including text, design, graphics, source code and the Oasis Hive name and logo, is owned by or licensed to Oasis Hive Limited and is protected by copyright and trademark law. Nothing on this site grants you a licence to use our brand without written consent.

Intellectual property created during a client engagement is governed by the relevant services agreement. Our standard position is that the client owns the deliverables, while we retain rights to generic components, tooling and know-how that existed before the engagement or that we reuse across projects.

03 Services and proposals

Nothing on this website constitutes an offer capable of acceptance. All engagements are subject to a written proposal or statement of work signed by both parties, which sets out the scope, price, schedule and acceptance criteria for that engagement.

Where a proposal and these terms conflict, the proposal takes precedence for that engagement.

04 Fees and payment

Unless stated otherwise in a proposal, project fees are invoiced against agreed milestones, retainers are invoiced monthly in advance, and support plans are invoiced monthly or annually in advance. Invoices are payable within fourteen days of issue.

Third-party costs such as infrastructure, licences and domains are passed through at cost and identified separately. Prices are exclusive of VAT and any other applicable taxes.

We reserve the right to charge interest on overdue amounts and to suspend work or services where an invoice remains unpaid thirty days after its due date, following written notice.

05 Client responsibilities

Timely delivery depends on both parties. You agree to provide the access, information, decisions and personnel reasonably required for us to perform the services, and to nominate a single individual authorised to approve scope and accept deliverables on your behalf.

Where delay is caused by a failure to provide these, we may adjust the schedule and charge for time already committed.

06 Changes to scope

Any change to an agreed scope will be documented in writing, with its impact on cost and schedule stated, and will only proceed once you approve it. We do not make unapproved changes and we do not charge for them.

07 Warranties and acceptance

We warrant that our services will be performed with reasonable skill and care by suitably qualified personnel, and that deliverables will materially conform to the agreed specification for ninety days after acceptance. Your remedy for a breach of this warranty is correction of the defect at our cost.

Deliverables are deemed accepted when you confirm acceptance in writing, or ten business days after delivery if no material non-conformity has been reported.

08 Limitation of liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, our total aggregate liability arising from an engagement is limited to the fees paid by you for the services giving rise to the claim in the twelve months preceding it. We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings or loss of data, however arising.

09 Confidentiality

Each party will keep the other's confidential information confidential, use it only for the purposes of the engagement, and disclose it only to personnel and advisers who need it. These obligations survive termination for a period of five years, and indefinitely for trade secrets.

We may reference a client engagement publicly only with written permission. Client names are never used in marketing without explicit approval.

10 Data protection

Where we process personal data on your behalf, we do so as a processor and will act only on your documented instructions, apply appropriate technical and organisational measures, assist you in meeting your own obligations, and delete or return data at the end of the engagement. The detail is set out in a separate data processing agreement.

11 Termination

Either party may terminate an engagement for material breach that remains unremedied thirty days after written notice, or immediately on insolvency of the other party.

On termination you will pay for work performed and costs committed up to the termination date, and we will deliver work in progress and hand over materials for which you have paid.

12 Governing law

These terms are governed by the laws of the Republic of Uganda, and the courts of Uganda have exclusive jurisdiction over any dispute arising from them. Before commencing proceedings, both parties agree to attempt resolution through good-faith discussion and, where appropriate, mediation.
